3. Services Provided

CRM Smart System offers a range of marketing services designed to help businesses grow and succeed. The specifics of each service will be detailed in individual service agreements.

4. User Responsibilities

Account Information: Clients must provide accurate and complete information when creating an account or using our services. Compliance: Clients agree to comply with all applicable laws and regulations when using our services. Usage: Clients are responsible for all activities that occur under their account and must notify CRM Smart System immediately of any unauthorized use.

5. Payment Terms

Fees: Clients agree to pay all fees associated with the services they use in accordance with the terms outlined in their service agreement. Billing: Services are billed on a monthly or annual basis, depending on the client's subscription plan. Payment is due at the beginning of each billing cycle. Late Payments: CRM Smart System reserves the right to suspend or terminate services for late or non-payment.

6. Intellectual Property

Ownership: All content, including but not limited to text, graphics, logos, and software, is the property of CRM Smart System or its licensors. License: CRM Smart System grants clients a limited, non-exclusive, non-transferable license to use the services for their intended purposes.

7. Confidentiality

Protection: Both parties agree to protect the confidentiality of any proprietary or confidential information disclosed during the term of the service agreement. Exceptions: Confidential information does not include information that is publicly known or that was independently developed without use of confidential information.

8. Termination

By Client: Clients may terminate their service agreement at any time by providing written notice to CRM Smart System. By CRM Smart System: CRM Smart System reserves the right to terminate the service agreement if the client breaches any terms or if the service is used for unlawful purposes.

9. Limitation of Liability

No Warranty: Services are provided "as is" without any warranties, express or implied. Liability: CRM Smart System's liability for any claims arising out of the service agreement is limited to the amount paid by the client for the services in the previous 12 months.

10. Indemnification

Clients agree to indemnify and hold CRM Smart System harmless from any claims, losses, or damages arising out of their use of the services or breach of these terms.

11. Changes to Terms

CRM Smart System reserves the right to modify these terms at any time. Clients will be notified of any changes, and continued use of the services constitutes acceptance of the modified terms.

12. Governing Law

These terms and conditions are governed by the laws of the state in which CRM Smart System is headquartered, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising out of or related to these terms and conditions shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
